1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and River City Hotel Group ("RCHG," "we," "us," or "our") governing your access to and use of our websites, platforms, and services (collectively, the "Services").

By accessing or using any of our Services, including but not limited to groupRooms.org, bookMyTeam.org, hotelSlots.org, hotelHuddle.com, rchotelgroup.com, and LodgixPro, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

RCHG operates the following platforms:

• groupRooms.org: A group hotel rate RFP (Request for Proposal) marketplace connecting group travelers with hotels.
• bookMyTeam.org: A multi-city itinerary booking platform for sports teams and group travel.
• hotelSlots.org: A day-use hotel time-block booking platform.
• hotelHuddle.com: A Name-Your-Price hotel booking platform with Agoda integration.
• rchotelgroup.com: Our corporate hub and partner portal.
• LodgixPro: Hotel management software for property owners and managers.

We reserve the right to modify, suspend, or discontinue any Service at any time without prior notice.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Provide accurate and complete registration information

By using our Services, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

Some features of our Services require you to create an account. When you create an account:

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

We use passwordless authentication for account access. You will receive a magic link or verification code via email to access your account.

5. Booking Services and Hotel Partners

When you use our booking platforms:

• RFP Submissions: When you submit a Request for Proposal (RFP), your information is shared with selected hotels who may respond with rate quotes. Submission of an RFP does not guarantee a booking or reservation.
• Direct Bookings: Some platforms allow direct booking. When you complete a booking, you enter into a separate agreement with the hotel property. RCHG facilitates the transaction but is not a party to the hotel guest agreement.
• Pricing: All prices are subject to availability and may change without notice. Final prices are confirmed at the time of booking.
• Payment: Payment is processed through third-party payment processors (Stripe). We do not store full credit card numbers on our servers.
• Cancellations and Refunds: Cancellation and refund policies vary by hotel and rate type. Please review the specific terms of your booking carefully. See our Refund Policy for more details.

6. Seller of Travel Disclosures

RCHG platforms facilitate travel bookings but are not registered as Sellers of Travel in all jurisdictions. Specifically:

• We are not registered as a Seller of Travel in California, Florida, Hawaii, Iowa, or Washington.
• As such, we do not offer or provide travel services to residents of or travelers to these states where registration is required.
• Users from these states will be blocked from completing bookings that require Seller of Travel registration.

7. User Conduct

You agree not to:

• Use our Services for any illegal purpose or in violation of any laws
• Submit false, inaccurate, or misleading information
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt our Services or servers
• Attempt to gain unauthorized access to our systems or user accounts
• Use automated systems (bots, scrapers, spiders) to access our Services without permission
• Harvest or collect user information without consent
• Transmit malware, viruses, or harmful code
• Abuse, defraud, or deceive hotels, other users, or RCHG staff
• Make fraudulent or speculative bookings

Violation of these conduct rules may result in account suspension or termination.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of RCHG or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes in accordance with these Terms.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• Our Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• Our Services or servers are free of viruses or harmful components
• Hotel listings, prices, or availability information is accurate or up-to-date
• Your use of our Services will meet your expectations

Some jurisdictions do not allow disclaimer of implied warranties, so the above disclaimers may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RCHG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF YOUR ACCESS TO OR USE OF OUR SERVICES.

IN NO EVENT SHALL RCHG'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO RCHG IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

Some jurisdictions do not allow limitation of liability for certain damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless RCHG and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law or regulation

12. Dispute Resolution and Arbitration

Informal Resolution: Before initiating formal dispute proceedings, you agree to contact us at legal@rchotelgroup.com to attempt to resolve the dispute informally.

Binding Arbitration: If the dispute cannot be resolved informally, you and RCHG agree to resolve any dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in the English language, and the venue shall be Harris County, Texas, unless otherwise agreed.

Class Action Waiver: YOU AND RCHG AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies and remains within the jurisdiction of that court.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of these Terms. Material changes will be communicated via email (for registered users) or via a prominent notice on our website at least 30 days before the changes take effect.

Your continued use of our Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using our Services.

15. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice, for any reason or no reason. Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, and any other agreements incorporated by reference, constitute the entire agreement between you and RCHG regarding the Services.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of those rights or provisions.
• Assignment: You may not assign or transfer these Terms without our prior written consent. RCHG may assign these Terms without restriction.
• Relationship of Parties: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and RCHG.
• Force Majeure: We are not liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, explosions, accidents, power or telecommunications failures, or pandemic events.
